Delaware filing deadlines: what LLCs and corporations owe, and when

Delaware runs on two different rules. LLCs file no annual report at all. They pay a flat annual tax by June 1. Corporations file an annual report with franchise tax by March 1. Both deadlines carry real penalties, and both are easy to keep once someone is watching them.

If you’re late in Delaware

Already past June 1? Filed through us now, the total is $709.99, plus Delaware’s 1.5% monthly interest on the unpaid tax and penalty until it is paid. It stops growing the day you pay.

  • Delaware’s penalty is $200.00, once. The state adds it the day after the deadline, which is what turns the $509.99 on-time total into $709.99. Its 1.5% monthly interest on the unpaid tax and penalty runs on top until you pay, so the final figure depends on the day you file.
  • Good standing stops immediately. The state will not issue a certificate of good standing while the tax is unpaid. That is the thing banks and buyers ask for first.
  • Paying restores it. Pay the tax, the penalty, and the accrued interest, and the company’s standing comes back. No hearing, no application, just the payment.

Does a Delaware LLC file an annual report?

No. Delaware LLCs file no annual report at all. Instead they pay a flat annual tax of $400.00 for tax year 2026 onward, due on or before June 1 every year. Delaware corporations are different: they file an annual report with franchise tax by March 1.

When is the Delaware LLC annual tax due?

June 1, every year, for every Delaware LLC, regardless of when in the year the company was formed and regardless of whether it did any business.

My Delaware LLC missed June 1. What now?

Delaware adds a $200.00 penalty plus 1.5% interest per month on the unpaid tax and penalty, and the company loses good standing until it pays. Pay the tax, penalty, and interest and good standing is restored. Filed late through us the total is $709.99, plus the interest that has accrued by the day you pay. We can file it for you today, and the full breakdown is on screen before you pay.

Do I need a Delaware registered agent if I don't live in Delaware?

Yes. Delaware law requires every Delaware company to continuously maintain a registered agent with a street address in Delaware. Most Delaware companies are owned by people outside Delaware, which is exactly why the requirement exists: the state needs a reliable in-state address for legal and official mail.

What does it cost to have you file the Delaware tax?

$509.99 in total, filed on time through us. That one figure already includes Delaware's $400.00 tax, which we pass to the state at cost, and the full breakdown is itemized on screen before you pay. You can also pay Delaware directly yourself at corp.delaware.gov.
