The rules we hold ourselves to

1. Who we are

These terms are an agreement between you and Filing Agency L.L.C., a Wyoming limited liability company, Wyoming Secretary of State ID 2026-002049580 (“Filing Agency”, “we”, “us”). You can reach us at [email protected].

2. What the service is

We prepare business filings from information in public state records and information you give us, present them to you for approval, submit them to the relevant state authority, and deliver the state’s response to you. We also act as registered agent where you engage us to. We are a document-preparation and filing service: we complete and submit forms at your direction. We do not choose your entity type, your state, or your legal strategy.

3. Your approval is the trigger

Nothing is submitted to any state until you approve the prepared filing. You are responsible for the accuracy of the facts you approve; we are responsible for filing exactly what you approved, on time.

4. Fees

Every price has two parts, stated separately: our service fee and the state’s fee. State filing fees are set by, and paid to, the state. They are shown separately from Filing Agency's service fee and are collected with your order as a pass-through. We never mark up a state fee.

5. Our on-time guarantee

If a filing you approved on time is submitted late because of us, we pay the state’s late penalty and refund our service fee for that filing. This is our sole liability for a late filing, alongside clause 8.

6. Renewals

Registered agent service renews annually at the same price you signed up at. We email you at least 30 days before each renewal with the amount and the date. You can cancel at any time from that email or by writing to us; see the refund policy for how cancellations are handled.

7. What we refuse to do

We do not provide legal, tax, or financial advice (see We are not a law firm). We do not imitate government correspondence (see Not a government agency). We decline filings that appear fraudulent, that misuse another person’s identity, or that we cannot verify against a state record.

8. Liability

Our total liability for any claim arising from a filing is limited to the fees you paid us for that filing, plus any state penalty covered by clause 5. We are not liable for consequences of facts you approved that were inaccurate, or for a state’s own processing errors or delays.

9. Governing law

These terms are governed by the laws of the State of Wyoming. Disputes are resolved in the courts of Wyoming, unless the law of your state gives you a non-waivable right to your local courts, in which case that right stands.

10. Changes

If we change these terms, the new version is posted here with a new effective date, and material changes are emailed to active customers 30 days before they apply. A change never applies retroactively to a filing already paid for.

1. What we collect, and where it comes from

• Public-record company data: names, addresses, registered agents, filing IDs, and deadlines from state business registers, which are public by law.
• Contact details you give us: your email, and your phone number if you choose to give it. Your email is never taken from a purchased list and never prefilled on your behalf.
• Filing details you type: for example an EIN, where a state’s form requires it.
• Payment: handled by a payment processor. We never see or store full card numbers.

2. If we wrote to you first

Some of our mail is a first contact: your company’s record and its filing deadline are public, and we write to tell you the deadline exists. Every such message says who we are, says the record is public, includes our postal address, and carries a working one-click stop. If you opt out, we don’t write again.

3. What we use data for

Preparing and filing what you order; sending you filing status and deadline reminders; meeting our own legal obligations. That is the complete list.

4. What we never do

• Sell or rent your data, to anyone, for anything.
• Run third-party advertising trackers on this site.
• Use your filing data for any purpose other than your filings.

5. Who we share with

Only the processors the service needs: our payment processor, our email delivery provider, and our hosting provider, each bound by contract to use the data only to provide their service to us, and the state, which receives exactly the filing you approved.

6. Retention

Filing records are kept as long as your account is active plus the period state and tax law requires. If you close your account, contact data is deleted within 30 days; filing records are archived for the legally required period, then deleted.

7. Your rights

Write to [email protected] to get a copy of your data, correct it, or have it deleted. We answer within 30 days, and deletion requests are honored except where law requires retention, in which case we tell you what is kept and why.

1. What this site stores

• Theme preference (fa-ds-theme, local storage) remembers light or dark. Never leaves your browser.
• Session cookie: keeps you signed in while you have an account and a filing in progress. Expires when the session does.

2. What this site does not use

No advertising cookies, no cross-site trackers, no fingerprinting, no social-media pixels. Our email links carry a plain reference so we can show you the right filing. They do not install anything.

3. If this ever changes

If we ever add analytics, it will be cookieless or strictly consent-first, and this page will change before the analytics ship, not after.

1. Before submission

Cancel any time before we submit to the state: full refund of both our fee and the collected state fee, no questions, no fee.

2. State rejection

If the state rejects a filing, we refund both fees in full within 5 business days of the rejection, automatically, without you asking.

3. After state acceptance

Once the state accepts a filing, the state has kept its fee and the work is done; neither is refundable. If the accepted filing contains an error that was ours, we refund our service fee and file the correction at no charge.

4. Late because of us

If a filing you approved on time is submitted late because of us, we pay the state’s late penalty and refund our service fee for that filing.

5. Registered agent

Cancel any time. If you cancel within 30 days of a renewal charge, that renewal is refunded in full. Outside that window the current year runs to its end and simply doesn’t renew; you will have had our 30-day notice before any charge.

6. How refunds arrive

Refunds go back to the payment method you used, within 5 business days of our confirmation. We email you when it is sent.

1. Two lines, never blended

Everything we sell is priced in two parts, stated separately: our service fee and the state’s own fee. You see both lines before you pay, on the page, at checkout, and on the invoice. We never combine them into one blended number.

2. The state fee is separate and passed through

State filing fees are set by, and paid to, the state. They are shown separately from Filing Agency's service fee and are collected with your order as a pass-through. We never mark a state fee up: the amount on your invoice is the amount the state charges, to the cent. Where a package or service includes a state filing, that state fee appears on its own line before you pay. Where a package contains no state filing, no state fee applies to it.

3. Year one is one upfront payment

A first year is always billed once, upfront. There is no monthly plan on a first year. The annual figure is what you pay, a single time, plus any state fee on its own line.

4. “A month equivalent” is the annual price divided by 12

Where we show a monthly-equivalent figure for a package, it is exactly the annual price divided by 12, to the cent, and the annual price is shown with it. It is a comparison aid so you can weigh us against competitors who quote by the month. It is not a monthly charge, and you are never billed monthly in your first year.

5. Monthly installments exist from year two, and cost more

From your second year, you can renew a compliance package on a 12-month installment plan instead of paying upfront. That plan is deliberately dearer: paid over 12 months it totals more than the upfront annual price. We show both totals before you choose, so the trade is yours to make with the numbers in view.

6. Renewals, and no hidden fees

Services and packages renew at the same list price you signed up at, and we email you at least 30 days before every renewal with the amount and the date. There is no free-first-year teaser and no renewal jump. There is no charge for receiving your own mail, and no processing or handling fee of any kind.

What that means in practice

• We can: prepare public filing forms from state records and your instructions, file them at your direction, track the state’s response, and state public facts (deadlines, fees, penalties) with sources.
• We cannot: tell you whether an LLC or a corporation is right for you, which state you should form in, what a contract means, or how a filing affects your taxes. Those answers depend on your situation, and answering them is the practice of law.
• No privilege: communication with us is not protected by attorney–client privilege.

If you need advice, a licensed attorney or tax professional in your state is the right call, and we will say exactly that whenever you ask us a question that crosses the line.

The standards we hold our own mail to

• Every message names Filing Agency as the sender, in the body, plainly.
• We never use seals, eagles, flags, capitol imagery, “official notice” or “final notice” framing, government-style form numbers, or simulated urgency.
• Every message about a deadline states that the underlying record is public and that you can file directly with the state, and names the state office.

If you received mail that looks governmental

Some companies in this industry dress their mail as state notices. If a letter about your company looks official and demands money, check the sender’s name against your state’s filing office before paying anything. The state’s own website is always the safest reference. If the letter claims to be from us, forward it to [email protected] and we will tell you plainly whether it is.

filing.agency targets WCAG 2.2 Level AA. Conformance is checked in design review and before each release, in both light and dark themes.

2. What is built in

• Every text and control color pairing meets AA contrast, in both themes.
• Everything works by keyboard, in a logical order, with a visible focus ring; a skip link opens every page.
• Labels are visible and programmatic; errors are announced and written as what happened and what to do.
• Animation respects prefers-reduced-motion; nothing flashes; no content requires motion to understand.
• Pages are usable at 400% zoom and on a 320px-wide screen without horizontal scrolling.

3. Known limitations

The homepage walkthrough video is in production; it will ship with captions and a published transcript, and this statement will be updated when it does. If we learn of any other gap, it is listed here until it is fixed.
